GST CLAUSE
The Goods & Service Tax (GST) is implemented with effect from 01st July 2017 in India. Accordingly, VAT / Sales Tax will be discontinued and these taxes will be subsumed to GST. GST will be payable on all goods (whether scrap or otherwise).
Hence all Buyers / Bidders having VAT Registration (TIN) need to register with GST for continuing transactions. Copy of certificate mentioning GST Registration Number needs to be submitted with the respective office of MSTC Ltd. (from where Registration was done) for updating Buyer Registration details. MSTC / Seller will not be able to issue any Sale Order / Delivery Order / Invoice, etc. wherever GST Registration Number is not updated. Further the existing VAT / Sale Tax Rate shall be replaced by GST Rate and differential tax, if any, will be paid by or refunded to Buyers.
In the same way, all Principals / Sellers need to submit copy of certificate referring GST Registration Number with the respective office of MSTC Ltd. (from where Auction is conducted) for updating Seller Registration details. It will not be possible to conduct any Auction or issue any Sale Order / Delivery Order, etc. wherever GST Registration Number is not updated. Further the Service Tax Rate on Service Charge Bill, shall be replaced by GST Rate and differential tax, if any, will be required to be paid by Principals / Sellers.
 


PRE - BID EMD

 Points to be followed by Bidders for payment of Pre-Bid:
Bidders after successful login will get three new links at their homepage as : :
1. Pay Pre Bid EMD 2. EMD Refund Request 3. EMD Ledger:
* Bidders are requested to click on the link Pay Pre Bid EMD and generate the pre bid EMD payment challan. This challan shall be valid for three days from the date of generation. For separate transaction separate challan is to be generated. After generation of the challan the bidders has to get the amount transferred from their bank through NEFT/RTGS. Pre bid transferred by any other link will not be considered for bidding in the auction.
* Submission of Pre Bid EMD through DD/PO is not acceptable.
* The pre-bid EMD deposited by the bidder cannot be used for any other purpose.
* The amount deposited by the bidders will be updated on receipt of confirmation from bank. Thus the bidders are advised to deposit the pre bid EMD well in advance.
* Once the EMD is received and intimation is received from the bank the amount will be visible in the buyers login through the link EMD ledger.
* In case the bidder wants to apply for refund they may apply for refund from their login through the link EMD refund request.
* Refund to bidder as per their online request will also be processed from MSTC HO on the next working day.
* The Pre-Bid EMD of the successful bidder will be adjusted with the Security Deposit. The same will be liable for forfeiture for any failure of the successful bidder to fulfill any of the terms and conditions of the E-Auction.


Only the registered customers who will be submitting their Pre-Bid amount and applicable qualifying document within the auction start date will be eligible to participate against the above auction.
SECURITY DEPOSIT: The Pre-Bid EMD or 25 % of the quoted value, which ever is higher , of the successful bidder will be converted into security deposit and will be retained by the MSTC/seller till satisfactory completion of work. This Security Deposit will be returned to successful bidder within 7 days of satisfactory completion of work and getting NOC from Seller/BMSICL

On receipt of Post Bid Earnest Money, Sale Order/Acceptance Letter will be issued. The Security Deposit and Post Bid Earnest Money will be forfeited if the bidder fails to make the balance payment for the material value within the stipulated time as mentioned in Sale Order/Acceptance Letter. Security deposit and Post Bid Earnest Money will be liable for forfeiture for any failure of the successful bidder to fulfill any of the terms and conditions of the E-Auction. Security Deposit and Post Bid Earnest Money will not earn any interest. If the H-1 bidder does not deposit the balance cost of material within the stipulated period, in that case their Security deposit and Post Bid Earnest money shall be liable for forfeiture. Installment payment will not be accepted.

In case of lot/s where PRE BID EMD is applicable, non-submission of POST-BID Earnest Money by the successful bidder within the stipulated time will lead to automatically forfeiture of the PRE-BID EMD. In such case the buyer's login will be considered for activation by MSTC after receipt of written request from the bidder.


Inspection of the goods/building will be conducted with prior appointment with seller.

1.0 BIHAR MEDICAL SERVICES AND INFRASTRUCTURE CORPORATION LIMITED, a Company incorporated under the Companies Act, 1956 is the seller AND hereinafter referred to as Principal / Seller. M/s MSTC Limited is the service provider of the seller and hereinafter referred to as the Service Provider / MSTC.

1.1 A. The Purchaser shall execute and complete the dismantling and taking out debris from the said premises, strictly in compliance with the rules, regulations and/or orders and/or notifications of BIHAR MEDICAL SERVICES AND INFRASTRUCTURE CORPORATION LIMITED and/or of any other Statutory Authorities /local bodies as applicable from time to time.

1.1 B The Purchaser shall be solely responsible for all the applicable Taxes/ levies /charges / statutory duties etc, whatsoever in nature, and shall not claim any compensation and / or reimbursement of the same from the Principal/ Seller.

1.1 C The Purchaser shall take all the necessary recourse to take out the debris and remove the movable/ immovable structures there-on. The Purchaser shall at their own cost make arrangement as may be necessary for taking out such debris and removal of waste caused thereby (hereinafter referred to as the Material).

1.1 D The Purchaser shall commence their work from the date of issuance of Delivery Order and complete within 15 Calendar Days in all respect i.e., dismantling, disposal and other scope of work as provided hereinafter.

1.1 E The Purchaser shall complete the entire work under their direct personal supervision and in the best workmanship and shall not assign such permission granted herein to any Third Party. The Purchaser shall strictly adhere the Work Program agreed herein and also strictly adhere the Time Schedule agreed herein. The above said work program is subjected to modification as required by the Principal /Seller.

1.1 F The Purchaser will dismantle, and carry away entire part and parcel of the debris and waste left out from the premises at their own cost. The Purchaser shall ensure that no debris / waster should be left over at the premises.

1.1 G No part of the site/boundary/other structures/areas except than the allotted structure should be touched to carry out dismantling work. Trees or other items considered to be preserved, existing in the premises should not be touched/ damaged in the course of dismantling activity. If the same is in utmost requirement, in that case the Purchaser shall take the necessary permissions from the respective authorities in advance at their own cost. However, no time extension for the same shall be granted by the Seller for obtaining such permission. If the Purchaser fails to obtain such permission, then they shall be solely liable for the same and the same shall tantamount to breach of this agreement and in any such event the Purchaser shall be solely responsible for all the costs and consequences and the Seller will not be held responsible for any such activities by the Purchaser and/or any of their men and agent.

1.1 H The men and agent of the Purchaser engaged at site for the above work are to stay in the earmarked area at the premises as would be identified by the representative of the Principal/Seller. However, all the arrangement for shelter/ sanitary provisions etc to be borne by the Purchaser at their own cost.

1.1 I Electricity should be arranged by the purchaser.

1.1 J The Purchaser should not use any wood by cutting trees / wooden doors/ windows or any other wood work or any other structures for cooking purposes within the subject premises and/or any other surrounding premises.

1.1 K The Purchaser shall be solely responsible for obtaining permissions and maintaining all the required Statutory Compliances for carrying out such dismantling work and for their men / agent engaged for the work. Neighborhood management will be the sole responsibility of the Purchaser. The Purchaser shall ensure that there should not be any damage caused to the adjoining buildings/structures.

1.1 L The Purchaser shall be solely responsible for all the statutory obligations/compliances with regard to the personnel engaged for the purpose of the demolition/dismantling work as agreed herein. The Purchaser shall strictly adhere the working hours in accordance to the Sellers rules for carrying out the work program agreed herein.
1.1 M Area of stacking material shall be identified by the representative of the Principal/Seller. The Purchaser shall at its own cost arrange for the security of such stacking materials, machineries and other equipments etc.

1.1 N The Purchaser shall carry out the dismantling work at its own cost which includes removal of debris / waste / materials / structures. All sorts of transportation and cost for the same shall be the sole responsibility of the Purchaser.

1.1 O Materials shall be removed within the completion date as agreed herein in all respect. In case the Purchaser fails to do so upon expiry of the completion date all remaining materials would be treated as the property of the Seller and no claim for compensation would be payable/entertained by the Seller thereafter in this regard. Any amount like security deposit or others amount shall be forfeited and the work may be allotted to other vendors and may be carried by the seller itself. The buyer will be blacklisted for three years in the auction conducted by the seller.

1.1 P The dismantling work should be carried out under the supervision of a qualified Structural Engineer and the Purchaser shall bear the expenses for the same.

1.1 Q During the progress of the work no part of the premises would be overloaded by stacking rubbish / other materials. The debris /rubbish/ materials en-mated out should be regularly removed and stacked at the earmarked place in the ground floor. In case the Purchaser fails to remove the aforesaid rubbish/material, the Principal /Seller shall arrange for removal of the same and cost of the same will be deducted from security deposit retained by the principal/seller. The repeated occurrence of the aforesaid event would tantamount to breach of this agreement and would be dealt as per Point No. 1.1 S of this agreement.

1.1 R This Agreement shall be valid from the date of its execution till the completion date as agreed herein (hereinafter referred to as the Term). Upon the expiry of the completion date this Agreement automatically stands cancelled and terminated unless the same is extended in writing by the Principal/Seller.

1.1 S The Prinipal/ Seller shall be entitled to determine this Agreement and discharge the same any time during the term without prejudice to the other rights and remedies available if the Purchaser and/or any of its men or agent neglect to carry the instructions, and/or to complete the work or delay the progress thereof , or assign the work, under this agreement, the decision of the Principal/Seller with regard to the same shall be final and binding upon the Purchaser and the Purchaser shall not have any right to claim any damage for the same. In any such event the Security Deposit and Post Bid Earnest Money or, any other money paid and balance Material Value shall be forfeited. And the Purchaser shall immediately remove all their men and machinery from the premises. In case the Purchaser fail to do so, the Principal/ Seller reserves its right to remove the same without any further notice, and the Purchaser shall be solely responsible for all the costs and expenses for the same.

1.1 T In case of termination of this Agreement and/or discharge of the same, the Principal/Seller shall be entitled to sell the debris to any third party.

1.1 U In case the Principal/Seller desires for any deviation in the work programme, the Purchaser shall duly exercise such deviations in a proper, substantial and best workmanship like manner, in all respects, in accordance to the direction of the Principal/Seller and within the time prescribed and/or any extension thereof as may be agreed by and to the satisfaction of the Principal/Seller. The prescribed and /or, any extension thereof for such deviation work would be agreed upon between the parties herein. However, all the aforesaid deviation work shall be carried out only on receiving written instruction from the Principal/ Seller.

1.1 V The Purchaser shall take all necessary precautions and shall always remain liable to and shall indemnify the Principal/Seller in respect of all causes of actions, claims, damages, compensation or costs, charges and expenses arising out of any accident or injury, sustained by the Seller and/or, its men and/ or any of the labour / workmen deployed for any reason whatsoever including the same is arising out of any act, default or negligence, error in judgment etc. by the Purchaser s men and agent.

1.1 W The Purchaser shall also take all necessary steps to cover the risk for the labour, supervisors, and engineers engaged by them for execution of the dismantling work as well as the supervisors/engineers/architect of the Principal/Seller against any Liability arising out of any accident in the premises which includes coverage of insurance of all persons.

1.1 X The Purchaser shall take all sort of safety precautions to avoid any sort of accident causing to the property or to the human life. The Purchaser should barricade all four sides of the said premises from ground floor to the top floor by erecting suitable scaffolding and providing cover to arrest spreading of dust in the locale and/ or prevent falling of debris at the adjoining areas.

1.1 Y It is explicitly being made clear that from the date of commencement of the work Purchaser shall be exclusively responsible for all consequences arising during the course of work at site subject to Force majeure. The Purchaser shall be solely responsible to take all precautionary steps before commencement of the work as well as during the course of work programme which includes to take away debris/materials of the premises.

1.1 Z It is also agreed here in explicit terms that upon entering into this agreement the Purchaser shall not further be entitled to terminate the same, in any such event the amount paid under this agreement including security deposit and Post Bid Earnest Money paid shall stands forfeited and the Purchaser shall have no right to claim for the refund of the same or any part thereof.

1.1 ZA Any taxes, charges, claims arising during or thereafter the process of dismantling and disposing off of the materials shall be solely the responsibility of the Purchaser.

1.1 ZB In case of any disputes and or differences arising, both the party as far as possible will try to settle the same amicably amongst themselves, failing which the same shall be referred to a Sole Arbitrator nominated by the Seller for adjudication of the dispute and the Arbitration proceedings shall be conducted as per the provisions of Arbitration and Conciliation Act, 1996 and/or any amendment thereof as applicable from time to time. The venue for arbitration shall be at Patna and the proceedings shall be conducted in English.

1.1 ZC, The Courts of Patna shall have the exclusive jurisdiction.

1.1 ZD In case if the Purchaser fails to proceed with the work on the date of commencement as mentioned and agreed upon in this agreement, the Principal/ Seller reserves its right to cancel this Agreement without any notice and forfeit the amount paid under this agreement including the earnest money/ security deposit paid. In such event, the liability of the Seller would be limited up to refunding the amount paid towards balance bid money without any interest and subject to adjustment of First Party s dues, if any.

1.1 ZE Force majeure shall include flood, earthquake, storm, tempest, war, civil commotion, riots, acts of God and/or any order/stipulation of the courts/statutory or local authorities and/or any prohibition order from any court of law or statutory authorities to which the parties have no control EXCEPT any prohibition order arising out of the operation/ action of the Purchaser . Neither party shall have any claim on the other for the delay on account of such force majeure.

1.1 ZF The purchaser should totally fill up the excavated area with good earth including excavated foundation and level the area up to existing ground level.

1.5 No dispute on quality, quantity, specification, condition etc shall be entertained once the material is sold.

2.0 VALIDITY OF BIDS:
2.1 All Bids will be valid for acceptance by Principal/SELLER / MSTC for a period of 45 calendar days from the date of close of auction, excluding the date of closing. In case the 45th day falls on a holiday or remains closed for MSTC, such Bids will be deemed to be automatically extended to be valid up to the next working day of MSTC thereon.

2.2 All offers including the offers accepted on the SUBJECT TO APPROVAL (STA) basis shall remain valid for a period of 45 calendar days from the date of close of auction which may be extended for any further period of time as may be mutually agreed upon.

2.3 THE CONTRACT SHALL BE VALID FOR A PERIOD OF 90 DAYS FROM THE DATE OF INTIMATION LETTER.

3.0 CAVEAT EMPTOR:
3.1 Inspection: The materials offered for sale may be inspected with prior permission of the Principal/Seller during working hours (excluding holidays). All the rates are to be quoted on LOT basis. The quantity, if any, indicated against the lots are purely indicative and without any guarantee and MSTC /Principal /Seller shall not entertain any complaint from the buyer for any deficiency in qty / number etc. or for recovery of the whole or part of the money or any loss of profit / interest /damages and otherwise.

3.2 The quantity, quality, measurement and condition of the materials indicated are all approximate. Participation and bidding by anyone in this sale shall be treated as conclusive evidence of the fact that the party has inspected the materials offered for sale and satisfied himself in all respect regarding quantity, quality, measurement, weight and condition of materials, taxes and duties, local working condition and other extraneous factors and principle of Caveat Emptor (let the buyer beware) will apply.

3.3 It shall be implied and taken for granted that the party has carefully gone through and understood the terms and conditions of E Auction including the amendments if any, prevailing at the time of bid. No complaints or objections shall be entertained by the Principal/Seller/MSTC and/or the Authorities after the bid is opened/accepted.

3.4 The principal/Seller / MSTC does not give any warrantee or guarantee for the quality, chemical composition of each individual items in the lot or about the end use or fitness for a particular purpose.

4.0 The sale will be governed by the Material List on Lot basis & Special Terms & Conditions (STC) displayed on the *Live e-Auction Floor* (and not under *Forthcoming Auctions*) as well as the General Terms & Conditions (GTC) and Buyer Specific Terms & Conditions (BSTC) already accepted by the Bidder at the time of e-Auction Registration with MSTC. The Material List for each lot & STC displayed under MSTCs e-Auction Website are tentative & on "as is where is" basis and subject to change at MSTC*s sole discretion before the start of e-Auction. Bidders should therefore download the Material list and STC displayed only under *View Live Auctions* for their record purpose if required. The BSTC and GTC can be seen and download by going to the Home Page of the e-Auction Website and clicking on *NEW USER*. Participation in the e-Auction will be deemed to imply that the Bidder has made himself thoroughly aware of and accepted the STC, BSTC and GTC. In case of any conflict between the STC and BSTC, the STC shall prevail. MSTC shall have the right to issue addendum to the STC or BSTC to clarify, amend, modify, supplement or delete any of the conditions, clauses or items stated and the Addendum so issued shall form a part of the original STC.

5.0 MODE OF PAYMENT:
5.1 The Buyer shall make all payments related to this e-Auction viz Earnest Money/ Security Deposit, Balance Value, Late Payment Penalty & Ground Rent in Electronic Mode (NEFT/RTGS/DD/PO) to MSTC Limited.
5.2 The buyer MUST intimate the details of payment made through send through e-mail to: MSTC concerned officials, giving the following. (i) UTR NO (ii) DATE OF TRANSFER (iii) NAME OF BANK (iv) NAME OF BRANCH (v) NAME OF BUYER (vi) CITY (vii) LOT NO & QUANTITY (viii) MATERIAL DESCRIPTION The buyer shall be responsible for any delay on account of receipt of payment through DD/ Pay Order.


6.0 POST BID EARNEST MONEY FOR AUCTION:
6.1 Upon acceptance of the auction bid the buyer shall have to pay full payment including taxes positively within 3 days of confirmation of bid.

6.2 If any offer is accepted on *SUBJECT TO APPROVAL (STA) basis the buyer shall have to pay full payment including taxes positively within 3 days of confirmation of bid/ acceptance of Bid.

6.3 The Security Deposit/ Post Bid payment MUST be made as per modes of payment given in the Clause above.

6.4 In case of lot/s where PRE BID EMD is applicable, non-submission of POST-BID amount within the stipulated time will lead to automatically forfeiture of the PRE-BID EMD.

7.0 PAYMENT OF BALANCE AMOUNT:
7.1 Full /Balance Payment along with GST, Income Tax and other applicable charges will be required to be made within 03(Three) days from the date of acceptance/confirmation of Lot.

7.2 The balance payment towards material value with all Taxes and Duties MUST be made as per modes of payment given in Clause 5 above.

7.4 In case, the last day of payment happens to be Closed Holiday for MSTC or the Banking Institutions, the next working day will be taken as the day of payment without late payment charge.

7.5 DEFAULT IN PAYMENT: In case of default in making payment within the time limits specified herein above, the pre bid EMD deposited by the bidder shall be automatically forfeited and the lot shall be put up for re-auction.

7.6 However, Principal reserves the right to accept or not to accept sale value with additional charges after expiry of stipulated time as mentioned above. Thereafter the PEMD/EMD amount shall automatically stands forfeited.

7.7 IN CASE OF NON PAYMENT OF BALANCE SALE VALUE: SECURITY DEPOSIT AND POST BID EARNEST MONEY WILL BE FORFEITED WITHOUT FURTHER NOTICE.

8.0 DELIVERY OF THE MATERIALS: Delivery Period will be 30 (Thirty) days counted from the date of issue of Delivery Order by MSTC/date of issue of Release Order by PRINCIPAL as the case may be (excluding the date of issue). The successful buyer shall lift the material by employing their own labour and transport at their own cost.

As per SPECIAL TERMS & CONDITIONS M/s BIHAR MEDICAL SERVICES AND INFRASTRUCTURE CORPORATION LIMITED clause no 1.0

9.0 BIHAR MEDICAL SERVICES AND INFRASTRUCTURE CORPORATION LIMITED / MSTC has the sole authority to accept or reject any offer without assigning any reason whatsoever.

10.0 If the successful highest Bidder (Confirmed or Provisional/Subject to Approval) fails to pay the Security Deposit/ Post Bid Earnest Money in full in time, then he shall be DEBARRED for a minimum period of 6(six) months from participating in all e-Auctions and disposal sales by MSTC and, his Registration Fee will be forfeited. While considering his reactivation all facts including the number of Principals/e-auctions/lots for which he had failed which are germane should be taken into account. MSTC at its sole discretion may take recourse to any of the following options for sale of the unsold Lot: - (i) The Unsold Lot may be put up for re-auction at the sole discretion of Principal (ii) MSTC may take any other action as may be deemed fit by the PRINCIPAL.

11.0 Central pollution Control Board (CPCB) as well as State Govt. Pollution Control Board rule as per notification of Hazardous waste (M&H Rule) for the old & used Oil /Grease /Lubricants /Batteries & other non-Ferrous items shall be followed by the bidders strictly. The Buyer shall comply as per Guidelines on environmental management of construction & demolition (C & D) wastes prepared in compliance of rule 10 sub-rule 1 (a) of C & D Waste Management Rule, 2016 for demolished buildings for CPCB/SPCB/NGT.

12.0 Personnel Protective Safety instruments like Shoes, Helmet, Gloves etc. are to be provided to all labour while dismantling the structure and lifting the dismantled materials. The dismantling work should be carried out with proper scaffolding work and taking appropriate safety measures.

13. 0 SAFETY RULES AND PRACTICES TO BE FOLLOWED: -

a. For working and non-working personnel in the building vicinity, personal protective safety equipment like shoes, helmet, gloves etc. are to be provided to all while dismantling is carried out of the building structure and lifting and handling of dismantled materials. The dismantled work should be carried out with proper scaffolding and taking appropriate safety measures.

b.The western building face contains certain installations serving different parts of the premises like CESC equipment /s. Proper covering and other safety steps has to be taken to avoid any damage to these installations. Any unforeseen incidents in this area will be in the PURCHASERS account.

c. Third party insurance on account of such damages has to be taken for covering any such untoward incident.

14. ALL CONTRACTS/TRANSACTIONS ENTERED INTO BY THE BUYER/BIDDER ARISING OUT OF THIS E-AUCTION SHALL BE GOVERNED BY THE INTEGRITY PACT AVAILABLE ON OUR WEBSITE, www.mstcindia.co.in
